Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ghaemi Studio (“we,” “us,” or “our”) website, client dashboard, and services. By using our site or engaging us for work, you agree to be bound by these Terms. If you do not agree, please do not use our services.

We provide custom web and iOS development, design, and related services for businesses. The specific scope, deliverables, timeline, and price for any project are agreed separately in a written proposal or quote. Because every engagement is custom-scoped, the details of your proposal control if they conflict with anything described generally on our site.

Some features, including your client dashboard, require an account created by signing in with Google. You are responsible for activity that occurs under your account and for keeping your sign-in credentials secure. You must provide accurate information and notify us of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

• Pricing is custom to each project and provided as a written quote before work begins.
• Invoices are issued through our payment processor (Stripe) and are due as stated on the invoice or in your proposal.
• Unless otherwise agreed in writing, fees are non-refundable once the corresponding work has been performed.
• Late or unpaid invoices may result in paused work or suspended access to deliverables and your dashboard.

To deliver your project, we may rely on you to provide content, assets, access, feedback, and timely approvals. Delays in providing these may affect timelines. You represent that any materials you provide do not infringe the rights of others and that you have the authority to share them with us.

Upon full payment for a project, you own the final deliverables created specifically for you, except for any third-party components, open-source software, or pre-existing tools and frameworks, which remain subject to their own licenses. We retain ownership of our general know-how, methods, and any reusable components we develop, and we may showcase completed work in our portfolio unless you ask us not to in writing.

You agree not to use our website or services to:

• Violate any applicable law or regulation.
• Infringe the intellectual property or privacy rights of others.
• Attempt to gain unauthorized access to our systems, disrupt our services, or introduce malicious code.
• Misrepresent your identity or affiliation.

Our services rely on third-party providers such as Google, Stripe, and Resend. Your use of features that depend on them may also be subject to those providers' terms. We are not responsible for the availability or actions of third-party services.

We provide our services with reasonable skill and care. Except as expressly stated in a signed agreement, our website and services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Ghaemi Studio will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data, arising out of or related to your use of our services. Our total liability for any claim relating to a project will not exceed the amount you paid us for that project.

Either party may terminate an engagement as set out in the applicable proposal. You may stop using our website at any time. We may suspend or terminate access to our site or dashboard if you breach these Terms. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — will continue to apply.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
